Terms of service

These terms apply to all consulting, development and contract work by Martin Wollank (wollank.dev).

1. Scope

These terms apply to all consulting, development and contract work performed by Martin Wollank (wollank.dev) unless otherwise agreed in writing.

2. Contract formation

Offers are non-binding. A contract is formed upon written order confirmation or commencement of work.

3. Scope of services

Scope, timeline and remuneration are defined in the offer or a separate Statement of Work (SoW). Changes require written consent from both parties (change-request process).

4. Client obligations

The client provides necessary information, access and feedback in a timely manner. Delays caused by insufficient client cooperation are not attributable to Martin Wollank.

5. Fees & payment

Fees are as per the offer (time & material or fixed price). Invoices are due within [TODO: 14/30] days without deduction. Statutory interest applies on late payment.

6. Acceptance

Deliverables are deemed accepted if the client does not raise written objections within [TODO: 10] business days of delivery or uses the deliverable in production.

7. Warranty

Defects will be remedied within a reasonable period. If remedy fails twice, the client may request a price reduction or withdrawal. Limitation period: [TODO: 12/24] months from acceptance.

8. Liability

Liability for damages is limited to intentional acts and gross negligence, except for injury to life, body or health. Liability for indirect damages or lost profits is excluded to the extent permitted by law.

9. IP & usage rights

Upon full payment, Martin Wollank grants the client the agreed usage rights in the deliverable. Open-source components remain under their respective licenses unless otherwise agreed.

10. Confidentiality

Both parties treat confidential information of the other party with discretion and do not disclose it to third parties. This obligation applies indefinitely.

11. Termination

Time & material engagements may be terminated in writing with [TODO: 14] days' notice. Work completed to date is invoiced pro rata.

12. Governing law & jurisdiction

German law applies, excluding the UN Convention on Contracts. Place of jurisdiction is [TODO: city] to the extent permitted by law.
